1. Acceptance of Terms
By accessing or using ReviewReel ("Service"), operated by ReviewReel ("Company", "we", "us", or "our"), you ("User", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and the Company.
2. Description of Service
ReviewReel is a software tool that facilitates the creation of short-form video content from publicly available Google Business review data. The Service acts solely as a technical facilitator - it provides the tools to generate videos, but does not control, direct, or take responsibility for how users obtain, use, or distribute the resulting content. Users can generate video reels featuring review content, preview them with a watermark for free, and purchase watermark-free versions.
3. User Accounts
To use our Service, you must sign in using Google OAuth. You are responsible for maintaining the security of your Google account. You agree to provide accurate information and to update it as necessary.
4. User Responsibility for Content and Media Usage
You acknowledge and agree that:
- You are solely responsible for ensuring that your use of any review content, reviewer names, reviewer profile photos, and any other third-party media incorporated into videos generated through the Service complies with all applicable laws, regulations, and third-party rights, including but not limited to privacy laws, publicity rights, data protection regulations (such as GDPR, CCPA, or equivalent local legislation), and intellectual property rights.
- You represent and warrant that you have obtained all necessary rights, permissions, consents, and authorizations required to use the review content, including any names, likenesses, photographs, or personal data of reviewers, for the purpose of creating and distributing video content on social media or any other platform.
- You are responsible for obtaining reviewer consent where required by applicable law before using any reviewer's name, photograph, likeness, or personal information in video content created through the Service, particularly when such content is intended for commercial or promotional use on social media or other public channels.
- The Company does not verify, obtain, or manage any consents or permissions from reviewers or any third parties whose content, likeness, or personal data may appear in videos created using the Service. The responsibility for compliance rests entirely with you.
- You acknowledge that publicly available information (such as Google Business reviews) may still be subject to privacy rights, publicity rights, and data protection regulations depending on your jurisdiction and the jurisdiction of the individuals depicted or referenced in the content.
5. Platform as Facilitator
The Service functions exclusively as a technical tool that enables users to create video content. The Company does not:
- Endorse, approve, or take responsibility for any content created by users through the Service
- Act as a publisher, broadcaster, or distributor of user-generated video content
- Provide legal advice regarding the use of review content, reviewer data, or media rights
- Guarantee that the use of publicly available review data in video format is lawful in your jurisdiction
- Monitor, review, or approve videos created by users before or after their distribution
You understand that the Company is a neutral technology provider. Any decision to use, publish, distribute, or monetize content created through the Service is made entirely at your own discretion and risk.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Create videos from reviews you do not have the right or permission to use
- Misrepresent the source or authenticity of reviews
- Use reviewer photographs, names, or likenesses in a manner that is defamatory, misleading, or in violation of any person's rights
- Attempt to circumvent payment mechanisms or watermarks
- Use automated systems to access the Service without permission
- Create content that harasses, threatens, or violates the rights of any individual
7. Indemnification
You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, agents, and affiliates from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service, including any content you create, publish, or distribute
- Your failure to obtain necessary rights, permissions, or consents for the use of review content, reviewer names, photographs, likenesses, or personal data
- Any claim by a third party (including reviewers) that content you created or distributed using the Service violates their rights, including privacy rights, publicity rights, intellectual property rights, or data protection rights
- Your violation of these Terms or any applicable law or regulation
- Any dispute between you and any third party relating to content created using the Service
8. Payment and Pricing
- Free Preview: You may generate and preview reels with a watermark at no cost.
- Paid Downloads: Removing the watermark and downloading high-quality videos requires a purchase. A monthly subscription ($30 USD/mo) includes 10 video downloads per billing cycle. Individual videos can be purchased for $5 USD each.
- Refunds: Due to the digital nature of the product, we generally do not offer refunds once a video has been downloaded. Contact us for exceptional circumstances.
9. Intellectual Property
The Service, including its design, features, and code, is owned by ReviewReel. Upon purchase, you receive a non-exclusive, non-transferable license to use the generated video for commercial and promotional purposes, subject to your compliance with these Terms and all applicable laws. This license does not transfer ownership of the underlying review content, which belongs to its original authors and the businesses that received it. You are solely responsible for ensuring that your use of the generated video does not infringe upon any third-party rights.
10. Third-Party Services
Our Service integrates with third-party services including Google (for reviews and authentication) and Polar (for payments). Your use of these services is subject to their respective terms and privacy policies. The Company is not responsible for the availability, accuracy, or practices of any third-party services.
11. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. The Company makes no warranty that the Service will meet your requirements, be uninterrupted, timely, secure, or error-free, or that the results obtained from the Service will be accurate, reliable, or suitable for any particular purpose.
12. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, goodwill, or reputation, arising out of or in connection with your use of the Service, regardless of the theory of liability.
- The Company shall not be liable for any claims, damages, or losses arising from your use, publication, or distribution of content created through the Service, including but not limited to claims related to privacy violations, unauthorized use of likeness, defamation, intellectual property infringement, or any other third-party rights.
- The Company's total aggregate liability for all claims arising out of or related to the Service shall not exceed the total amount you paid to the Company in the twelve (12) months preceding the event giving rise to the claim.
- You expressly waive any right to claim damages from the Company for any content you create, publish, or distribute using the Service, and acknowledge that the Company bears no responsibility for the downstream use of such content.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the Company is incorporated, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration body in the Company's jurisdiction, unless otherwise required by applicable consumer protection law.
14. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
15. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via the Service or email. Your continued use of the Service after any such changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
